1. Agreement to Terms

By accessing or using Next2Me ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part, you may not use the Service.

These Terms constitute a legally binding agreement between you and NoteIQ, Inc. ("Company," "we," "us," or "our").

2. Eligibility

To use Next2Me, you must:

• Be at least 13 years old
• Have parental consent if under 18
• Provide accurate information during registration
• Have the legal capacity to enter into these Terms

3. Account Registration

Your Responsibilities

• Maintain accurate account information
• Keep your password secure and confidential
• Notify us immediately of unauthorized access
• Accept responsibility for all activity under your account

Account Termination

You may close your account at any time. We may suspend or terminate accounts that:

• Violate these Terms
• Engage in harmful or illegal activity
• Remain inactive for extended periods (with notice)

4. Your Content

Ownership

You retain full ownership of all content you create or upload("Your Content"), including relationships, memories, voice recordings, and other data.

License to Us

You grant us a limited license to store, process, and display Your Content solely to provide the Service to you. This license:

• Is non-exclusive (you can use your content elsewhere)
• Is royalty-free (we don't pay you, but we don't charge you extra either)
• Terminates when you delete the content or close your account
• Does not give us rights to sell or share your content

Content Guidelines

Your Content must not:

• Violate any laws or regulations
• Infringe on others' intellectual property rights
• Contain malware or harmful code
• Be used to harass, stalk, or harm others
• Include content involving child exploitation

5. Service Tiers

Free Tier (Keeper of Contact)

• Up to 50 relationships
• Basic AI nudges
• Voice notes
• Free forever, no credit card required

Paid Tiers (Cultivator & Guardian)

• Billed monthly or annually as selected
• Prices subject to change with 30 days notice
• Existing subscribers keep their rate until renewal
• Refunds available within 30 days of initial purchase

Cancellation

You may cancel paid subscriptions at any time. You'll retain access until the end of your billing period. After that, your account reverts to the free tier.

6. AI Features

Nature of AI

Next2Me uses artificial intelligence to provide relationship nudges and suggestions. This AI is designed to help, not replace human judgment.

Limitations

• AI suggestions are not professional advice (medical, legal, financial, etc.)
• AI may make mistakes or provide imperfect suggestions
• You are responsible for decisions you make based on AI suggestions

Biometric Features

Voice-to-Timeline features process biometric data under separate consent. See our Privacy Policy for details on biometric data handling.

7. Legacy and Succession Features

Guardian tier users may designate successors for their digital legacy. By using these features:

• You confirm you have the legal right to make such designations
• You understand this is not a legal will or testament
• You acknowledge we may require legal documentation before executing transfers
• We recommend consulting an estate attorney for comprehensive planning

8. Prohibited Uses

You agree not to use Next2Me to:

• Violate any laws or regulations
• Harass, abuse, or harm others
• Impersonate others or misrepresent your identity
• Collect data about others without their consent
• Transmit malware or conduct security attacks
• Interfere with or disrupt the Service
• Attempt to access accounts or data not belonging to you
• Use automated systems to access the Service (except approved APIs)
• Resell or commercially exploit the Service without permission

9. Intellectual Property

Our Property

The Service, including its design, features, and code, is owned by NoteIQ, Inc. and protected by intellectual property laws. You may not copy, modify, or distribute our intellectual property without permission.

Your Property

You retain all rights to Your Content. We claim no ownership over your relationships, memories, or personal data.

Feedback

If you provide suggestions or feedback, you grant us the right to use it without compensation. You're not obligated to provide feedback.

10. Third-Party Services

Next2Me may integrate with third-party services (calendar sync, etc.). Your use of these services is subject to their terms. We're not responsible for third-party services.

11. Disclaimer of Warranties

The Service is provided "as is" and "as available." We make no warranties, express or implied, including:

• Merchantability or fitness for a particular purpose
• That the Service will be uninterrupted or error-free
• That defects will be corrected
• That the Service is free of viruses or harmful components

We do our best to provide a reliable service, but technology isn't perfect.

12. Limitation of Liability

To the maximum extent permitted by law:

• We are not liable for any indirect, incidental, special, consequential, or punitive damages
• Our total liability is limited to the amount you paid us in the 12 months before the claim arose
• For free tier users, our liability is limited to $100

Some jurisdictions don't allow these limitations, so they may not apply to you.

13. Indemnification

You agree to indemnify and hold us harmless from claims arising from:

• Your use of the Service
• Your Content
• Your violation of these Terms
• Your violation of any third-party rights

14. Dispute Resolution

Informal Resolution First

Before filing any formal dispute, you agree to contact us at legal@next2me.pro and attempt to resolve the issue informally for 30 days.

Arbitration

If informal resolution fails, disputes will be resolved through binding arbitration under the rules of the American Arbitration Association. You waive the right to participate in class actions.

Exceptions

Either party may seek injunctive relief in court for intellectual property violations or emergency situations.

Opt-Out

You may opt out of arbitration by sending written notice to legal@next2me.pro within 30 days of creating your account.

15. Governing Law

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of law principles.

16. Changes to Terms

We may update these Terms. For material changes:

• We'll provide 30 days advance notice via email
• We'll highlight what changed
• Continued use after notice constitutes acceptance
• If you disagree, you may close your account and export your data

17. General Provisions

Entire Agreement

These Terms, along with our Privacy Policy, constitute the entire agreement between you and us.

Severability

If any provision is found unenforceable, the remaining provisions remain in effect.

No Waiver

Our failure to enforce any right doesn't waive that right.

Assignment

You may not assign your rights under these Terms. We may assign ours in connection with a merger or acquisition (with notice to you).
